These Terms of Service (the “Terms”) govern your use of MaxMeeting, a live conversation coach operated by MaxPoints LLC, doing business as MaxPoints (“MaxPoints,” “we,” “us,” or “our”). MaxMeeting includes this website, the live coach and demo, member accounts, saved conversations, conversation plans, the “About you” profile, the ChatGPT connection, paid plans, and related services (the “Services”).
By using the Services, you agree to these Terms, our Privacy Policy, and our AI Disclaimer. If you do not agree, do not use the Services.
Eligibility
You must be at least 18 years old and able to enter into a binding agreement to use the Services. If you use MaxMeeting for a company or other organization, you confirm that you are authorized to accept these Terms for it.
Accounts and security
You sign in to MaxMeeting with a MaxAuth account using your email address. Keep access to that email and your sign-in codes secure, give accurate account information, and tell us promptly if you suspect someone else has used your account. You are responsible for activity on your account to the extent permitted by law. You may not impersonate anyone or access another person's account or data.
Recording conversations and consent
The live coach uses your device's microphone, only after you start it and your browser grants permission, to capture audio from your conversation. That audio is sent to our servers and to our AI provider to be turned into text and to suggest what you could say next.
Many places require the consent of everyone in a conversation before it is recorded or transcribed. You are solely responsible for knowing and following the recording, eavesdropping, and privacy laws that apply to you and the people you talk with, for telling them when MaxMeeting is listening, and for getting any consent required. Do not use the coach where recording is prohibited or where others reasonably expect not to be recorded.
AI coaching suggestions
MaxMeeting's advice, talking points, plans, and recaps are generated by AI. They can be wrong, incomplete, out of date, or unsuited to your situation, and transcripts can mishear what was said. Suggestions are not legal, medical, financial, employment, or other professional advice. You decide what to say and do, and you are responsible for those choices. See our AI Disclaimer for more.
Demo
The demo shows how the coach works with a sample conversation. It is provided for illustration only and may differ from the advice you receive in a live session.
Saved conversations, plans, and your profile
Members can save conversations, transcripts, and recaps, create plans for upcoming conversations, and add details about themselves so advice fits them better. Only add information you are comfortable having MaxMeeting store and use for coaching. Do not add other people's sensitive personal information, passwords, or payment details.
ChatGPT connection
You may choose to connect ChatGPT to your MaxMeeting account from the Settings page. When you do, ChatGPT can read or replace only your ChatGPT briefing in MaxMeeting, and MaxMeeting uses that briefing to personalize your coaching. ChatGPT is operated by OpenAI and is governed by OpenAI's own terms and policies; we do not control what ChatGPT sends. You can remove the connection in Settings at any time.
Paid plans and payments
Some features may require a paid plan. The price, currency, and whether the plan is a one-time purchase or a recurring subscription are shown at checkout before you pay. Payments are processed by Stripe, and we do not store your full card details. By completing checkout you authorize the charge shown and, for a subscription, recurring charges at the shown interval until you cancel.
To cancel a subscription, email us at support@maxmeeting.app. Cancellation stops future renewals. Except where required by law or stated at checkout, charges already made are not refundable.
Your content
You keep ownership of what you provide to MaxMeeting, including audio, transcripts, notes, plans, profile details, and briefings (“User Content”). You confirm you have the rights and any consents needed to provide it. You grant MaxPoints a worldwide, non-exclusive, royalty-free license to host, store, process, and transmit User Content, including sending it to our AI and service providers, only as needed to provide, secure, and support the Services, follow your instructions, comply with law, and enforce these Terms.
MaxPoints intellectual property
The Services and the software, designs, text, logos, and other materials we provide are owned by MaxPoints or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, resell, reverse engineer, or create derivative works from them except as the law or we expressly allow.
Acceptable use
You agree not to use the Services to:
- record or transcribe anyone without the consent the law requires;
- violate any law, contract, or another person's rights;
- harass, deceive, defraud, or manipulate the people you talk with;
- submit unlawful, infringing, abusive, or harmful content;
- access another person's account or data without authorization;
- interfere with, overload, or get around the security, rate limits, or operation of the Services; or
- scrape the Services or use them to build a competing product.
Third-party services
MaxMeeting relies on other providers, including OpenAI for speech-to-text and AI suggestions, MaxAuth for sign-in, and Stripe for payments. Their own terms and policies apply to their services, and we are not responsible for their availability, changes, or charges.
Changes and termination
We may change, suspend, or discontinue all or part of the Services. We may suspend or close an account that violates these Terms, creates legal risk, or could harm others. Where reasonably practicable, we will give notice of a material change or discontinuation. You may stop using the Services at any time.
Disclaimer of warranties
To the fullest extent permitted by law, the Services, including transcripts and AI suggestions, are provided “as is” and “as available.” MaxPoints disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the Services will be uninterrupted, error-free, or produce any particular outcome in a conversation. Some jurisdictions do not allow these exclusions, so some may not apply to you.
Limitation of liability
To the fullest extent permitted by law, MaxPoints and its officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, business, opportunities, or data, arising from the Services or these Terms, including from what you say or decide based on AI suggestions. Our total liability for any claim is limited to the greater of the amount you paid us for the Services in the 12 months before the claim or $100. These limits do not apply where the law does not allow them.
Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless MaxPoints and its officers, employees, contractors, and agents from claims, losses, and reasonable attorneys' fees arising from your User Content, your recording of others, your misuse of the Services, or your violation of these Terms or the law.
Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, and by applicable federal law, including the Federal Arbitration Act. Before starting formal proceedings, you and MaxPoints agree to try in good faith to resolve a dispute informally for at least 30 days after written notice. Notices to MaxPoints must be sent to 18121 E Hampden Ave Unit C #1244, Aurora, CO 80013.
If not resolved informally, a dispute will be resolved by binding individual arbitration in Colorado, or remotely if the arbitrator permits, except that either party may bring an eligible claim in small claims court or seek injunctive relief for misuse of intellectual property. You and MaxPoints each may bring claims only individually, not as a plaintiff or class member in any class, collective, or representative proceeding.
Changes to these Terms
We may update these Terms as the Services or the law change. We will update the date above and give notice of material changes before they take effect. Continued use after that date means you accept the updated Terms.
General
These Terms, with the Privacy Policy and AI Disclaimer, are the entire agreement between you and MaxPoints about the Services. If any part is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent.
